Annual General Meeting Requirements and Annual Returns Reinstated

The Government of Alberta issued a Ministerial Order on April 9, 2020 which suspended the requirement for nonprofits and other groups to hold AGMs and delay filings. The temporarily modified provisions in several acts and regulations expired on August 15, 2020 and have reverted to normal. This Ministerial Order impacts organizations governed under the Societies Act, Companies Act, and the Charitable Fund-Raising Act.

For a detailed analysis of what this means for your nonprofit, read the INTEGRALInsights blog by Yvonne Chenier from IntegralOrg. The post covers:

  • organizations incorporated as a society under the Societies Act;

  • organizations incorporated as a nonprofit company under part 9 of the Companies Act;

  • organizations incorporated under the Canada Not-for-profit Corporations Act and registered in Alberta to carry on activities in this province;

  • a special note about voting;

  • what kind of meeting and voting do our bylaws or articles allow?;

  • annual returns to Alberta Corporate registry; and

  • Charitable Fund-Raising Act, RSA 2000, c C-9.

Additionally, on Friday, August 21, Edmonton Chamber of Voluntary Organization (ECVO) will be hosting a 60-minute virtual information session and Q&A to address your questions about what this change means for nonprofits and how your organization can respond.
